Terms of sale

These terms of sale (“Terms”) govern the sales of goods and installation services carried out by T.M. Invest S.à r.l., operating the Jopergola brand, 304a, rte de Thionville, L-5884 Howald (Luxembourg) — VAT LU34399106, RCS B272524 (hereinafter “the Seller”), to its customers (hereinafter “the Customer”).

1. Purpose and scope

The Terms apply to any order of bioclimatic pergolas, accessories and installation services offered by the Seller. Any order implies full and unreserved acceptance of these Terms.

2. Quote and order

Quotes are free and valid for 30 days from their issue. The order becomes firm upon signature of the quote (or its online acceptance) and payment of the deposit. A technical site visit may be arranged to confirm the measurements, the nature of the support and the access conditions.

3. Prices

Prices are shown in euros, all taxes included (applicable Luxembourg VAT, currently 17%). Unless otherwise stated, they include delivery and installation. Any additional service or supply is subject to a supplementary quote.

4. Payment terms

Unless otherwise agreed: 30% deposit on order and the balance on completion of the installation. Payment is made by bank transfer (Banque Raiffeisen — IBAN LU93 0099 7800 0120 0930 — BIC CCRALULL) or by any other proposed means. In the event of late payment, default interest at the applicable legal rate is due by operation of law, without prior formal notice.

5. Lead times and delivery

Delivery and installation lead times are provided for guidance only. The Seller informs the Customer of the intervention date. A reasonable delay cannot give rise to cancellation of the order or to the payment of damages.

6. Installation

The Customer undertakes to ensure sufficient access to the site and a suitable support (appropriate ground or slab) for the installation. The Jopergola pergola is free-standing and does not require wall fixing. Obtaining any required administrative authorisations (planning, co-ownership) is the Customer's responsibility.

7. Retention of title

The goods delivered remain the property of the Seller until full payment of the price, in principal and ancillary amounts.

8. Warranties

The Customer benefits from the legal warranty of conformity. A commercial warranty applies depending on the model (2 or 5 years on the material), under normal conditions of use and maintenance. In particular, the following are excluded: normal wear, damage resulting from abnormal use, lack of maintenance or external events (storm, frost, impacts, etc.).

9. Right of withdrawal

For sales concluded at a distance, the consumer has a 14-day withdrawal period. In accordance with the regulations, this right does not apply to goods made to order or clearly personalised according to the Customer's specifications.

10. Photos and visuals — non-contractual

The photographs, 3D visuals and colour representations shown on the site, quotes and commercial documents are provided purely for illustration and are not contractual. The colours displayed on screen or printed may differ slightly from the actual shades, and minor variations in appearance, dimensions or finish may exist. Only the characteristics specified on the accepted quote are authoritative.

11. Complaints and after-sales service

Any complaint should be sent to contact@jopergola.com as soon as possible. The Seller undertakes to handle after-sales service requests within the scope of the applicable warranties.

12. Personal data

The Customer's data is processed in accordance with the applicable regulations (GDPR) and the Seller's privacy policy.

13. Force majeure

The Seller cannot be held liable for non-performance or delay due to a case of force majeure.

14. Applicable law and jurisdiction

These Terms are governed by Luxembourg law. Failing an amicable resolution, the competent courts of Luxembourg shall have sole jurisdiction.
